It will shift to 3rd if I put it into neutral & then back into drive at around 35 MPH. It's got about 150K on it. Thanks for an advice. Mark

could be the governor valve...should be located on the tailshaft inside the housing...probably gummed with varnish...remove and hone it with 600 grit black silicone paper, rinse thoroughly with solvent and then atf......fixed similiar problem on older models C6....so good luck....
