Shifting Noise

When I shift from 1st to 2nd or 2nd to 3rd and the RPMs are kinda high, I hear something that sounds like gears grinding. The noise happens when I press down on the clutch. Anyone know what's happening and how to fix it?

1) Throw out bearing. 2) Replace it.

Might as well replace the main seal and clutch while your at it.
